Terms of Service

1. About Operon

Operon is operated by Operava LLC. Operon is a business management platform designed for lawn care, landscaping, and home service businesses. By creating an account or using the Operon application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Operon provides scheduling, customer management, invoicing, payroll, and AI-powered tools for service-based businesses. Access to features varies by subscription plan.

3. Subscriptions, Billing & Auto-Renewal

Operon offers paid subscription plans. Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. Your payment method will be charged for renewal within 24 hours prior to the end of the current period.

• Auto-Renewal: Subscriptions renew automatically unless cancelled.
• Price Changes: We will provide reasonable notice of any price changes. Continued use after the change constitutes acceptance.
• No Refunds: Subscription fees are non-refundable except as required by applicable law.

4. Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you retain access until then. To cancel, go to the Account section in Settings.

5. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account at alexpaisley@operavallc.com.

6. Business Communications & Customer Data

You are responsible for your business communications and the customer data you manage within Operon. This includes:

• Ensuring all customer data you enter complies with applicable privacy laws.
• Obtaining any required consents from your customers before communicating with them, including any consent required before sending them text messages.
• Complying with all applicable laws and regulations when emailing, texting, or otherwise contacting your customers, including CAN-SPAM, the TCPA, and applicable state laws.
• Taking responsibility for the content of all communications sent through the Service.

7. SMS / Text Messaging Program

The Operon OS SMS program is operated by Operava LLC under the Operon OS brand. By opting in, you consent to receive text messages from Operon OS at the mobile number you provide.

Message categories. Messages may include customer support, account and service notifications, appointment reminders, billing and invoice reminders, product updates, and occasional marketing.

Frequency & rates. Message frequency varies. Message and data rates may apply.

Opting out & help. Reply STOP to opt out at any time, or HELP for assistance. Consent to receive text messages is not a condition of any purchase.

Delivery. Message delivery is not guaranteed. Carriers are not liable for delayed or undelivered messages.

Your number. You must provide a mobile number you own or are authorized to use, and keep it accurate and up to date.

Your privacy. Mobile phone numbers and SMS opt-in and consent data are never sold, rented, or shared with third parties or affiliates for their own marketing or promotional purposes. See our Privacy Policy for how we handle mobile and consent data.

8. Gmail Integration

Operon offers an optional Gmail integration that allows you to send customer emails and view customer replies from within the platform. This integration is entirely optional and requires your explicit authorization via Google OAuth.

• Gmail integration is optional — you can use Operon without connecting Gmail.
• You authorize the integration yourself and can disconnect it at any time from Settings.
• You must comply with all applicable laws, including anti-spam laws, when emailing customers through Gmail via Operon.
• You are responsible for all emails sent from your Gmail account through Operon.

9. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Upload or transmit viruses or malicious code
• Reverse-engineer, decompile, or disassemble the Service
• Use the Service to harass, abuse, or harm others
• Send unsolicited bulk email or spam, or unsolicited or non-consented text messages, through any integration

10. Your Data

You retain ownership of all data you enter into Operon (customers, jobs, invoices, etc.). By using the Service, you grant Operava LLC a limited license to store and process that data solely to provide the Service to you. See our Privacy Policy for full details.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Limitation of Liability

To the maximum extent permitted by law, Operava LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid in the 12 months prior to the claim.

13. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms. You may delete your account at any time via the Account section in Settings.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Texas.

15. Changes to Terms

We may update these Terms from time to time. We will notify you by updating the date at the top of this page. Continued use of the Service after changes constitutes acceptance of the revised Terms.

16. Email Communications

By creating an Operon account, you agree that Operava LLC may send you emails related to your account, onboarding, product usage, trial status, updates, offers, and other Operon-related communications. You may opt out of non-essential marketing or promotional emails at any time in your account settings or through the unsubscribe link provided in our emails. Opting out of marketing emails does not prevent us from sending essential transactional, billing, security, or legal notices.
